1. Agreement to terms

These Terms of Service (“Terms”) are a binding agreement between you and Helix Aminos LLC (“Helix Aminos,” “we,” “us,” or “our”) governing your access to and use of https://www.helix-aminos.com (the “Site”) and any purchase you make. By creating an account, accessing the Site, or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You may use the Site only if you: (a) are 21 years of age or older; (b) are accessing the Site for laboratory, academic, or institutional research purposes; (c) are located in and ordering for delivery within the United States; and (d) have the legal capacity to enter into these Terms. We may require verification of eligibility and may refuse, suspend, or terminate access at our discretion.

3. Research use only — nature of the products

All products sold on the Site are supplied strictly as research materials for laboratory research use only. They are not drugs, dietary supplements, cosmetics, medical devices, or food, and are not approved by the FDA to diagnose, treat, cure, or prevent any disease. The products are NOT for human or veterinary use, consumption, ingestion, injection, or application, and not for any clinical, diagnostic, or therapeutic purpose.

By purchasing, you represent, warrant, and covenant that: (a) you are acquiring the products solely for lawful in-vitro research or analytical purposes; (b) you are qualified and trained to handle research chemicals safely and will comply with all applicable laws, institutional policies, and safe-handling and disposal practices; (c) you will not administer the products to humans or animals, resell or distribute them for human or animal use, or relabel or repackage them for such use; and (d) you assume all responsibility and risk arising from your handling, storage, use, and disposal of the products. This provision survives termination.

4. Accounts and verification

You must create an account to view the catalog and purchase. You agree to provide accurate information, keep it current, keep your credentials confidential, and are responsible for all activity under your account. We may apply verification and access controls and may decline or revoke access. Notify us promptly of any unauthorized use at support@helix-aminos.com.

5. Orders, pricing, and payment

All orders are offers to purchase and are subject to our acceptance. We may refuse, limit, or cancel any order — including after an order is placed — for reasons including suspected ineligibility, suspected resale for prohibited use, pricing or product errors, payment issues, or suspected fraud. Prices, availability, and product information may change without notice and may contain errors, which we may correct. Payment is made through the rails offered at checkout (at launch, manual peer-to-peer payment such as Zelle or Cash App); your order is processed after payment is confirmed and reconciled. You are responsible for any taxes not collected by us where applicable.

6. Shipping

We fulfill within the United States only. Title and risk of loss pass to you upon our delivery of the products to the carrier. Delivery timeframes are estimates, not guarantees. You are responsible for providing an accurate, deliverable shipping address; see our Shipping Policy.

7. Returns and refunds

Returns and refunds are governed by our Returns Policy, incorporated by reference. Given the nature of the products, returns may be limited or unavailable except as stated in that policy or as required by law.

8. Acceptable use

You agree not to: use the Site or products in violation of any law or these Terms; represent or resell the products for human or animal use; misrepresent your identity, eligibility, or research purpose; interfere with or attempt to breach the security or integrity of the Site; scrape, harvest, or bulk-download catalog or certificate data; or use the Site to infringe others' rights. We may investigate and take action, including account termination and referral to authorities, for violations.

9. Intellectual property

The Site and its content — text, product data, certificates, logos, and design — are owned by Helix Aminos or its licensors and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site for its intended purpose. You may not copy, reproduce, or create derivative works from Site content except as expressly permitted.

10. Third-party links and materials

The Site may reference third-party laboratories, certificates, or materials. We are not responsible for third-party content or services, and reference does not imply endorsement.

11. Disclaimers

THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted or error-free. Beyond the identity and purity characteristics stated on a product's Certificate of Analysis for the applicable lot, we make no representation regarding suitability for any particular research application. You are solely responsible for determining fitness for your intended research use.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELIX AMINOS AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. Our total aggregate liability arising from or related to the Site or any product will not exceed the amount you paid for the product(s) giving rise to the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you. This section does not limit liability that cannot be limited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Helix Aminos and its members, officers, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the products (including any human or animal use), or your violation of law or the rights of others. This provision survives termination.

14. Dispute resolution — binding arbitration and class-action waiver

PLEASE READ CAREFULLY — THIS AFFECTS YOUR LEGAL RIGHTS.

Informal resolution first. Before starting arbitration, you agree to contact us at support@helix-aminos.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Except as stated below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the products will be resolved by binding individual arbitration administered by JAMS under its consumer arbitration rules, rather than in court. The arbitration will be held in Orange County, California, or conducted by video/telephone where available, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator decides all issues, except that a court may decide the enforceability of the class-action waiver.

Class-action waiver. You and Helix Aminos agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding.

Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property or Site security.

30-day opt-out. You may opt out of this §14 by emailing support@helix-aminos.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect the rest of these Terms.

15. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to §14, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Orange County, California, and you consent to their jurisdiction.

16. Changes to these terms

We may modify these Terms from time to time. Material changes take effect when we post the updated Terms and update the effective date; your continued use after that constitutes acceptance. If you do not agree, stop using the Site.

17. Termination

We may suspend or terminate your access at any time, with or without cause or notice. Sections that by their nature should survive — including §3, §8–§15 — survive termination.

18. General

These Terms and the Privacy Policy are the entire agreement between you and Helix Aminos regarding the Site and supersede prior agreements. If any provision is held unenforceable, the rest remain in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor. We are not liable for delays or failures caused by events beyond our reasonable control.
